Please read these terms carefully before using our e-invoice archiving service.

1. Acceptance of Terms

By accessing or using Peppol Archive ("the Service"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use the Service. These terms apply to all users, including businesses, employees, and any other persons accessing the Service.

2. Description of Service

Peppol Archive provides electronic invoice archiving services designed to help businesses comply with European e-invoicing regulations. Our services include:

  • Secure storage of Peppol documents
  • Automatic document capture and validation
  • Long-term archiving with legal validity
  • Search and retrieval functionality
  • Compliance reporting and audit support

3. Account Registration

To use the Service, you must create an account. You agree to:

  • Provide accurate and complete registration information
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access
  • Accept responsibility for all activities under your account

4. Subscription and Payments

The Service is provided on a subscription basis. By subscribing, you agree to:

  • Pay all applicable fees according to your chosen plan
  • Provide valid payment information
  • Accept automatic renewal unless cancelled before the renewal date
  • Understand that fees are non-refundable except as required by law

We reserve the right to modify pricing with 30 days' notice. Price changes will not affect your current billing period.

5. User Responsibilities

You agree not to:

  • Use the Service for any illegal purpose
  • Upload malicious software or harmful content
  • Attempt to gain unauthorized access to our systems
  • Interfere with or disrupt the Service
  • Resell or redistribute the Service without authorization
  • Use the Service in violation of any applicable laws or regulations

6. Data Ownership

You retain all ownership rights to your documents and data. By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service. We will not access, use, or share your data for any other purpose without your explicit consent.

7. Service Availability

We strive to maintain 99.9% uptime for the Service. However, we do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance whenever possible. We are not liable for any damages resulting from service interruptions beyond our reasonable control.

8. Compliance and Legal Requirements

While our Service is designed to help you meet EU e-invoicing compliance requirements, you remain ultimately responsible for:

  • Understanding applicable regulations for your jurisdiction
  • Ensuring your use of the Service meets legal requirements
  • Maintaining appropriate internal controls
  • Consulting with legal professionals when necessary

9. Limitation of Liability

To the maximum extent permitted by law, Peppol Archive shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. Our total liability shall not exceed the amount paid by you for the Service in the twelve months preceding the claim.

10. Termination

Either party may terminate the subscription at any time. Upon termination:

  • You will retain access until the end of your current billing period
  • You may export your data within 30 days of termination
  • We will retain archived documents as required by law, then securely delete them

We may suspend or terminate your account immediately for violation of these terms or illegal activity.

11. Changes to Terms

We may modify these Terms of Service at any time. Material changes will be communicated via email or through the Service at least 30 days before taking effect. Continued use of the Service after changes become effective constitutes acceptance of the modified terms.

12. Governing Law

These terms are governed by the laws of Belgium and the European Union. Any disputes shall be resolved in the courts of Brussels, Belgium, unless otherwise required by applicable consumer protection laws.
